1. PURPOSE OF THE CONDITIONS OF USE

The general conditions of use (hereinafter the "Conditions of Use") regulate the access, use and everything related to the Portal hosted under the domain name https://lasalsadelbaile.com/ (hereinafter the "Portal") and under any of the web pages that depend on it, as well as the contents and services that the owner of the Portal makes available to its users (hereinafter, the "Users") and establish, together with the Privacy Policy and Cookies Policy, relating to the management of Users' personal data, the terms and conditions governing the Portal (the "Terms and Conditions").

Access to the Portal or its use by the User necessarily implies knowledge and acceptance of the Terms and Conditions. Therefore, it is recommended that the User reads them carefully when accessing the Portal.

The Users of LaSalsaDelBaile are all those who interact with the interface, distinguishing those people who are professionals in the sector (dancers, artists, business owners or employees) and who organise or actively participate in events, congresses, parties, courses or workshops (hereinafter "Professionals") from those who use the Portal to consult information and/or purchase tickets (hereinafter "Consumers").

LaSalsaDelBaile has created different tools on the Portal that allow the organisation of events and also allow the purchase and sale of tickets and the analysis of information on the pages intended for this purpose, offering Users the "Promotion Services for Professionals", the "Ticket Purchase and Sale Service" and the management and data analysis tool of each business "Premium Service" (the "Services"). By providing the Ticket Organisation and Management Services, LaSalsaDelBaile acts solely as an intermediary in the sale and purchase of tickets between Users, remaining outside the contractual relationship established between the Consumer Users and the Professionals.

2. PROMOTIONAL SERVICES FOR PROFESSIONALS

LaSalsaDelBaile offers its Users a service for Professionals so that Users who so wish can create an account as a professional (the "Professionals") and thus be able to create, edit and manage their own events, courses or venues from the professional area of the Portal itself, as well as sell tickets to other Users (the "Consumers") for the Events and/or courses that they organise and publish on the Portal.

LaSalsaDelBaile grants the Professionals a license to use the Professionals' Page, from the date of validation of the Promoter Services contract from the time of the creation of the Event until both parties decide to restrict this relationship. Under no circumstances does LaSalsaDelBaile transfer to the Professional any of the intellectual or industrial property rights associated with the Portal or the Professional's Page.

2.1. Creating events

Users who wish to create an event must first create an account as a Professional by requesting it in the Professional area of the Portal. Once there, the professional will be able to create Events. The data provided will be treated in accordance with the Privacy Policy of LaSalsaDelBaile.

Once the event or course has been created, the Professional will be able to edit and control the information related to it (location, description, add the programme, ticket prices, capacity..) as well as manage the sale of tickets to the Users as they are produced.

3. TICKETING SERVICE

LaSalsaDelBaile makes available to its Users a ticket purchase service through which Consumers can quickly, securely and easily purchase tickets for events and/or courses published on the Portal by Professionals.

LaSalsaDelBaile only acts as an intermediary between the Professionals and the Consumers in the sale of tickets, managing only the promotion and distribution of these, and therefore at no time acts as organiser of the events and/or courses or participates in any organisational aspect of them.

ALL requests for refunds must be dealt with directly with the organiser of the event. LaSalsaDelBaile undertakes at all times to provide the details of the organiser for any type of claim by the consumer.

The processing of payment transactions between consumers and event and course organisers will be handled by one of the following options: Stripe, PayPal, the organiser's own payment platform or by Paytpv On Line Entidad de Pago, S.L. (hereinafter "PAYCOMET"), a payment entity registered in the Registro de Entidades de Pago del Banco de España, under number 6874. 3.1. Ticketing process

To purchase tickets for events and courses published on the Portal, please follow the steps below:

- Select the event or course that the Consumer wishes to attend.

- Select the number of tickets, subject to availability

- Fill in the requested data for each ticket and proceed to make the payment.

- Immediately thereafter, LaSalsaDelBaile will send an email to the Consumer at the email address provided by the Consumer during the registration process confirming the purchase.

- Once the purchase confirmation has been received, the Consumer will be able to download and print their tickets.

3.2. Process for validating the ticket

The Consumer may access the venue where the event or course is being held by handing in the ticket printed in FULL or by showing the ticket from their mobile phone at the entrance to the venue. There they will validate the ticket with an access control scanner or manually.

It is important to note that even if several copies of the ticket are printed, only the first ticket presented at the entrance will be considered valid, therefore, those who subsequently try to enter with the same ticket will not be allowed to do so under any circumstances.

3.3. Conditions to be taken into account by the Consumer

- Tickets are issued in accordance with the rules and regulations of the venue and the Professional organiser. Violation of any of these rules and regulations, or any other act that may cause harm, injury or damage, shall entitle the Professional organising the event or course to expel the Consumer from the premises.

- Illegal resale of a ticket is not permitted, should it occur, the ticket will be cancelled and you will not be entitled to a refund or any other type of compensation.

- The event or course may be recorded for commercial and/or promotional purposes, whereby Consumers give their consent by accessing the event or course so that their image may be recorded and subsequently reproduced for the aforementioned purposes as part of the public.

- LaSalsaDelBaile is not involved in the organisation of the events and courses, and therefore has nothing to do with aspects such as visibility conditions, acoustic quality, comfort of the venue, accessibility, etc., which are the sole responsibility of the organising professional.

- The Professional reserves the right of admission to the premises.

- The Practitioner is legally authorised to carry out relevant checks and records to verify that safety conditions are met within the venue where the event or course is held.

- Any ticket that is crumpled, torn or shows signs of forgery shall entitle the Practitioner to deprive the bearer of access to the event or course.

- LaSalsaDelBaile is not responsible for lost or stolen tickets.

- Any exchange or refund of tickets must be claimed directly from the event organiser or made from the user profile.

- Should any event be cancelled, LaSalsaDelBaile will notify consumers of the decision of the organizer for refund, postponement or any decision of the same, but at no time, LaSalsaDelBaile will refund the price of the ticket, this procedure must be done directly with the organizer.

3.4. Obligations of LaSalsaDelBaile and the Professionals

LaSalsaDelBaile undertakes to keep the Professionals' page available at all times. It undertakes to allow the Professional to consult all the information and statistics on tickets sold at its events or courses.

On the other hand, the Professional must add or provide LaSalsaDelBaile with all the information necessary for the correct provision of the service and keep his/her Professional account updated. Immediately notify LaSalsaDelBaile, in case of modification of dates, change of conditions, place or circumstances of the event or course and apply the necessary changes on their Professional page. If a Consumer had a ticket, the Professional must inform the Consumer directly of the changes made.

The Professional must immediately remove the event or course from the Portal when it foresees that the event or course is going to be cancelled or suspended and respond for the tickets that have already been sold, in accordance with the Changes and Refunds Policy, and respond to any kind of complaint or query from users as a result of the sale of tickets for any of the events or courses that it has published on the Portal.

It also undertakes to comply with the agreed Cost of the Ticket Purchase and Sale Service and to have the necessary administrative authorisations in force and to have made the appropriate notifications for the exercise of its activity, with the obligation to show them to LaSalsaDelBaile whenever requested to do so by the latter.

3.5. Ticketing Service Cost

The use of the Consumer and Professional users of the Portal is completely free of charge, as well as the use of the Professionals page and the creation, management and administration of events on the Portal.

The cost of the Ticket Purchase Service provided by LaSalsaDelBaile is determined as follows:

- To the ticket price set by the Professional Organiser for each specific event or course (the "Final Retail Price"), the percentage established in the contract for promoter services (the "Service Fee") will be applied. Thus, the Professional organiser of each event will receive directly the price of all tickets minus the Service Fee for each ticket.

- The cost of the Ticketing Service shall be the sum of all Service Fees for each Ticket sold for the particular event or course (the "Ticketing Service Cost").

- In the event that the event is cancelled, the organizer will be responsible for making the refund directly to the consumer, being LaSalsaDelBaile exempt at all times from any kind of claim by the consumer.

4. ADVERTISING SERVICE

LaSalsaDelBaile makes available to the Professionals the Advertising Service for premises offering a better promotion and visibility of the premises and an exhaustive analysis of data with respect to the Professionals who do not contract it.

4.1. Advertising Service Cost

The cost of the Premium Service will be set by the rate in force at any given time. The Professional can cancel it whenever he/she wants, giving one month's notice to LaSalsaDelBaile.

The Professional must enter the card in the service registration form and LaSalsaDelBaile will automatically charge him/her each month.

5. EXCHANGE AND RETURN POLICY

Pursuant to the applicable consumer and retail trade regulations in force, the Consumer may not exercise the right of withdrawal or termination, therefore, tickets will not be exchanged or refunded, except in the case of cancellation of the event or course and provided that the Professional organiser includes the express notice. The impossibility of attending an event or course will allow to change the ownership of the ticket only for those offers that expressly permitted it.

In the event of cancellation of the event or course once it has started, the Consumer shall not be entitled to a refund of the Price paid for the ticket, unless the Professional Organiser so decides and informs LaSalsaDelBaile in writing. In any case, although the information of such change is solely and exclusively the responsibility of the Professional Organiser, LaSalsaDelBaile undertakes to send an e-mail to the Consumer at the e-mail address provided in the registration form to inform the Consumer of such cancellation or change in the terms and conditions.

If the Professional Organiser decides to refund the Final Retail Price to the Consumer, LaSalsaDelBaile shall be responsible for communicating to the Consumer the method chosen by the Professional for the refund of the money invested in the ticket.

6. RESPONSIBILITY OF LaSalsaDelBaile

LaSalsaDelBaile only acts as an intermediary between Professionals and Consumers in the sale and purchase of tickets for events and courses, managing in its name and on its own behalf the sale, distribution and management of tickets.

This implies that LaSalsaDelBaile assumes no responsibility if the event or course does not take place, nor for the quality of the same, and the appropriate claim must be addressed to the organiser of said event or course.

7. USE OF THE PORTAL

Users shall be responsible for the correct use of the Portal in accordance with the laws in force, whether national or international, as well as the principles of good faith, morality, good customs and public order, and with the commitment to pay attention to any instructions provided by LaSalsaDelBaile.

Users shall refrain from using the services and contents of the Portal for illicit purposes or effects that are harmful to the rights and interests of third parties, or that may in any way damage, render useless, affect or deteriorate the functioning of the Portal, its contents and services. Likewise, it is forbidden to prevent the normal use or enjoyment of the Portal by other Users.

LaSalsaDelBaile accepts no responsibility for potential damage or errors that, due to the presence of any virus, may be suffered by the computer system (hardware or software) of the Users when they access or use the Portal.

LaSalsaDelBaile will use reasonable means at the disposal of the User to ensure that the contents and services included in the Portal are accurate, of high quality and up to date. However, LaSalsaDelBaile cannot guarantee this at all times.

If it considers it appropriate, LaSalsaDelBaile may suspend immediately and without notice the provision of the service and, where appropriate, remove content that it deems incorrect or illegal, whether it does so at its sole discretion, or at the request of an affected third party or competent authority, without such suspension giving rise to any compensation whatsoever.

8. LINKS TO THIRD PARTIES

LaSalsaDelBaile assumes no liability whatsoever for the links that enable, through the Portal, the User to access features and services offered by third parties, provided that they are outside the Portal. Therefore, LaSalsaDelBaile is not responsible for the information contained therein or for any effects that may arise from such information. Also, LaSalsaDelBaile reserves the right to withdraw, unilaterally and without notice, the links that appear on the Portal.

If any User or third party observes that such links may be contrary to the law, morality or public order, they should inform LaSalsaDelBaile by e-mail at contact@lasalsadelbaile.com.

9. INTELLECTUAL AND INDUSTRIAL PROPERTY

LaSalsaDelBaile is the owner or licensee of all intellectual and industrial property rights included in the Portal, as well as of the contents accessible through the Portal.

The authorisation given to the User to access the Portal does not imply any waiver, transmission, licence or total or partial transfer of intellectual or industrial property rights by LaSalsaDelBaile, and therefore its use is strictly prohibited.

The intellectual and industrial property rights of the Portal, as well as the texts, images, graphic design, navigation structure, information and contents contained therein are either owned by LaSalsaDelBaile or it holds the necessary exploitation rights over them, in any form and, in particular, the rights of reproduction, distribution, public communication and transformation, in accordance with Spanish legislation on intellectual and industrial property rights.

The Professional organisers guarantee that they have been duly assigned or that they hold the ownership of all the intellectual and industrial property rights associated with the content included in each of the events or courses they create and publish on the Portal and, in order to promote them on the Portal, they assign to LaSalsaDelBaile all the rights to exploit said intellectual and industrial property rights. The aforementioned assignment shall be deemed to have been made for the whole world and without time limit.

10. USER’s ACCOUNT CLOSURE AND SUSPENSION OF SERVICE

LaSalsaDelBaile reserves the right of admission and exclusion from the Portal. Any User who does not comply with the rules described above may be excluded from the Portal.

Likewise, LaSalsaDelBaile may withdraw or suspend at any time and without prior notice the provision of the Services to those Users who fail to comply with the provisions of the Terms and Conditions.

11. COMMUNICATIONS BETWEEN LaSalsaDelBaile AND USER

All communications between LaSalsaDelBaile and the Users regarding these Conditions of Use or the acquisition of Services through the Portal shall be made by e-mail through the "Contact" section.

The User may also send LaSalsaDelBaile physical communications as long as they are sent to the address of LaSalsaDelBaile indicated in point 1 and are made in writing and through a system that allows accreditation of the content and receipt by LaSalsaDelBaile of the corresponding communication.

12. MODIFICATIONS TO THE CONDITIONS OF USE

LaSalsaDelBaile reserves the right to modify these Conditions of Use in accordance with the legislation applicable at all times, which will be duly informed on the Portal, and therefore recommends that the User periodically reviews them in order to be informed of the latest modifications.

13. PARTIAL INVALIDITY

In the event that any Clause of these Terms of Use is declared invalid, the remaining Clauses shall remain in force and shall be interpreted taking into account the will of the parties and the purpose of these Terms of Use.

The non-exercise by LaSalsaDelBaile of any right arising from these Terms of Use shall not be construed as a waiver of such right, unless expressly waived in writing by LaSalsaDelBaile or prescription of the action that in each case corresponds.

14. GOVERNING LAW AND JURISDICTION

These Conditions of Use have been drawn up in accordance with the provisions of Law 34/2002, on Information Society Services and Electronic Commerce, Law 7/1998 on General Contracting Conditions, Law 26/1984 General Law for the Defence of Consumers and Users, Law 7/1996 on the Regulation of Retail Trade, and any other applicable legal provisions.

The Terms and Conditions are subject to Spanish law. For the resolution of any conflict that may arise from accessing the Portal, the User and LaSalsaDelBaile expressly agree to submit to the Courts and Tribunals of the city of Madrid.
